
Erste Group AGM adopts 2014 financial annual statements and appoints new Supervisory Board members
The principal items on the agenda of this year’s Annual General Meeting of Erste Group included the presentation of the 2014 financial annual statements as well as the election of members to the Supervisory Board.
Under Item 5 of the agenda (Supervisory Board elections), Maximilian Hardegg has been appointed and Wilhelm Rasinger has been reappointed to the Supervisory Board. As announced on 15 December 2014, in conjunction with the syndication agreement between la Caixa and Erste Foundation, the major shareholder la Caixa has the right to nominate two members of the Supervisory Board. Juan Maria Nín had already stepped down from the Supervisory Board as representative for la Caixa in December 2014. Gonzalo Gortázar and Antonio Massanell have been appointed at this year’s AGM as successor and additional Supervisory Board member respectively. Georg Winckler, who has served on the Supervisory Board for over twenty years and has now, as per the articles of association, reached the maximum age for serving as a member, stepped down at this year's AGM. As a result of these changes, the number of shareholders’ representatives in the Supervisory Board will increase from eleven to twelve. The six members nominated by the employee’s council remain unchanged.
The shareholders discharged the Management Board and the Supervisory Board from liability with a vote of over 99%.
