Gottfried Haber elected as new chairman of Erste Group’s supervisory board
- Gottfried Haber and Gabriele Semmelrock-Werzer newly elected to Supervisory Board; Alois Flatz re-elected
- AGM resolves dividend of EUR 3.00 per share
- Discharge granted to Management Board and Supervisory Board members
The 32nd Annual General Meeting (AGM) of Erste Group Bank AG (Erste Group) took place in Vienna on 21 May 2025. Shareholders approved the proposal from the Management Board and the Supervisory Board for a dividend payout of EUR 3.00 per share for the 2024 financial year, with 100 % of the capital stock present voting in favor. The AGM granted discharge for the reports and activities of the Management Board members with a vote of 99.77 % of the capital stock present. Similarly, the reports and activities of the Supervisory Board members were also approved by a vote of 99.42 %.
Elections to the Supervisory Board
Shareholders approved the election of two new members to the Supervisory Board: Gottfried Haber and Gabriele Semmelrock-Werzer. Gottfried Haber is a well-known finance and economics expert with extensive experience in macroeconomic analysis, financial market regulation and banking supervision. A habilitated university professor of economics, Gottfried Haber was most recently the Vice-Governor of the Oesterreichische Nationalbank (OeNB), Austria’s central bank.
Gabriele Semmelrock-Werzer has extensive management and banking experience, gained over several decades in various leading positions, including at Erste Group and the Kärntner Sparkasse. She had previously held supervisory board appointments at a range of institutions, among them Erste Bank Oesterreich, Erste Asset Management, and the Vienna Insurance Group.
Shareholders also approved the re-election of the existing Supervisory Board member Alois Flatz. The newly constituted Supervisory Board (when taking into consideration only shareholder representatives) thus now consists of a total of 12 members, who are split between seven women and five men. The Works Council has delegated six members to the Supervisory Board as employee representatives.
Supervisory Board elects Gottfried Haber as new chairman
In their initial meeting following the conclusion of the 2025 AGM, the members of the newly constituted Supervisory Board elected Gottfried Haber to serve as the board’s chairman. In this role, Haber follows Friedrich Rödler, who had been a member of Erste Group’s Supervisory Board since 2004 and had served as its chairman since 2012.

Additional AGM resolutions and updates
All other resolutions that had been put forward at the AGM were similarly approved by large majorities of the shareholder votes, including authorizations for the acquisition of own shares and the adoption of the remuneration report and the remuneration policy for Management Board and Supervisory Board members.
